August 5, 2026 – The Board of Directors of Nanya Technology Corporation convened today and approved the following resolutions. Details are provided below:
1. Approved a US$2.1 billion capital injection into Nanya Technology International, Ltd., a wholly owned subsidiary, to reduce the impact of USD/NTD exchange rate fluctuations on operations.
2. Approved the transfer of 715,000 common shares of PieceMakers Technology, Inc. to the underwriter at a price of no less than NT$545 per share in connection with its Taiwan Emerging Stock Board listing. Following the transfer, the Company retains 20,496,840 common shares, representing a 33.96% equity stake. A disposal gain of NT$0.36 billion is expected to be recognized.
3. Approved Fab 5A capital expenditures of up to NT$346.6 billion for 2026-2029, including EUV equipment, to support the first-phase capacity expansion of 35,900 wafer starts per month (WSPM).
4. Approved an increase in 2026 capital expenditure from NT$52.0 billion to up to NT$69.7 billion. The additional budget will be used primarily for advance payments on selected equipment required for Fab 5A capacity expansion.
Supplementary information: The 5A fab is planned with a full capacity of 45,000 WSPM and total capital expenditures of approximately US$16 billion. 10nm-class technology (i.e. 1C, 1D and 1E) and EUV will be deployed, with wafer input commencing in the second half of 2027. Capacity is expected to ramp to 30,000 WSPM in 2028 and 35,900 WSPM in 2029.
5. Resolved to authorize the Chairman or President to conduct the bidding process for the wafer testing facility within the approved budget to ensure timely execution. The Company will make the required public disclosures upon completion of the transaction.
