Nanya Technology Corporation, Nan Ya Printed Circuit Board Corporation, and Formosa Taffeta Corporation jointly announced a Share Purchase and Disposal Transaction of Formosa Advanced Technology Corporation's Shares

December 13th, 2019 – Nanya Technology Corporation, (“NTC”), Nan Ya Printed Circuit Board Corporation (“N.P.C”) and Formosa Taffeta Corporation (“FTC”) jointly announced a share purchase and disposal transaction of Formosa Advanced Technology Corporation (“FATC”)’s shares. NTC plans to acquire Formosa Advanced Technology Corporation (“FATC”) shares, up to 57,489 thousand shares, approximately 13% of its issued shares, through block trading in Taiwan Stock Exchange market with the price of NT$ 35.65 per share for up to NT$ 2.05 billion (2,049,482,850), thereby becoming the largest shareholder of FATC.  N.P.C plans to acquire Formosa Advanced Technology Corporation (“FATC”) shares, up to 13,267 thousand shares, approximately 3% of its issued shares, through block trading in Taiwan Stock Exchange market with the price of NT$ 35.65 per share for up to NT$ 473 million (472,968,550). Simultaneously, FTC plans to dispose of up to 70,756 thousand FATC shares at the same price.

“FATC has been a major partner in the DRAM packaging and testing of NTC over the years.  NTC plans to increase the shareholding of FATC from the original 19% to 32%, to further strengthen the strategic partnership between the two parties in future advanced product engineering, packaging and testing, and improve the overall operating performance and enhance market competitiveness.  We believe this cooperation will further strengthen NTC's operations and shareholders' value in the long run”, said Nanya Technology Corporation’s President, Dr. Pei-Ing Lee.
